SenzaGen targets the growing medical device market

Today, SenzaGen focuses on the chemicals, cosmetics and pharmaceutical markets for its global commercialization of GARD®, an in vitro platform for risk assessment of chemicals. Now, the Company has decided to further expand its market presence and will also focus its efforts on the global market for medical devices.

“We see significant opportunities in the medical device market. Large underlying growth combined with a willingness to use in vitro tests to assess the risk profile of medical devices and a new regulatory framework means that the medical device market will be a natural next step for SenzaGen,” says Anki Malmborg Hager, CEO of Senzagen.

The global medical technology market is estimated to be worth $410 billion in 2023 with an annual increase of 4.5% in 2018-2023. All medical devices that come into contact with the patient must be assessed for allergy before they can be sold. The market potential of testing and risk assessment of medical devices is therefore very large and increasing. At the moment, changes are made in the EU regulatory framework for medical devices while the global ISO Standard ISO 10993 for the approval of medical devices is updated. So far, ISO 10993 has required tests on guinea pigs for sensitization, but work is ongoing to update the standard to include animal-free tests, which SenzaGen can capitalize on.

In order to increase the introduction pace, the Company has signed a cooperation agreement with Research Institutes of Sweden (RISE) in order to adapt GARD® for testing medical devices. Furthermore, Eurofins, licensee to GARD®, is a major player in the medical devices market and will therefore be able to expand its offer to this market.

A first step in the adaptation of GARD® for medical devices will be presented as a poster at the EUROTOX conference in Brussels, 2-5 September 2018.

SenzaGen tar sikte på den växande medicintekniska marknaden

SenzaGen fokuserar idag på kemikalie-, kosmetika- och läkemedels-marknaderna för sin globala kommersialisering av GARD®, en in vitro plattform för riskbedömning av kemikalier. Nu har Bolaget beslutat att vidga sin marknads närvaro ytterligare och kommer även att rikta sina insatser mot den globala marknaden för medicintekniska produkter.

Den globala medicinsktekniska marknaden beräknas vara värd 410 miljarder USD år 2023 med en årlig ökning på 4,5% under 2018-2023. Alla medicintekniska produkter som kommer i fysisk kontakt med patienten måste riskbedömas för allergi innan de får säljas. Marknadspotentialen inom testning och riskbedömning av medicintekniska produkter är därför mycket stor och ökande. Just nu pågår en förändring av EU:s regelverk för medicintekniska produkter samtidigt som den globala ISO-standarden ISO 10993 som reglerar godkännande av medicintekniska produkter, uppdateras. Hittills har ISO 10993 krävt tester på marsvin för sensibilisering, men arbete pågår med att uppdatera standarden till att inkludera djurfria tester, vilket SenzaGen kan kapitalisera på.

För att öka introduktionshastigheten har Bolaget har tecknat ett samarbetsavtal med Research Institutes of Sweden (RISE) i syfte att anpassa GARD® för testning av medicintekniska produkter. Vidare är Eurofins, licenstagare till GARD®, en stor aktör även för medicintekniska produkter och kommer därför kunna utöka sitt erbjudande till denna marknad.

The use of GARDskin for sensitization evaluation of cosmetic ingredients and ‘real-life’ mixtures

Introduction
Genomic fingerprints in dendritic cells after chemical exposure is a recent strategy in in vitro techniques for skin sensitization hazard. Within this perspective, Genomic Allergen Rapid Detection (GARDskinTM), an assay based on a support vector machine (SVM) model, was developed for identifying contact allergens using a myeloid cell line as a surrogate for dendritic cells. Predictive system behind the GARDskin™ consists on the transcriptional quantitative analysis of 200 genes, referred as the GARDskin™ prediction signature. Mechanistically, GARDskin™ is linked to key event 3 “Activation of DCs”, as defined by the Adverse Outcome Pathways for skin sensitization published in 2012 by OECD (https://read.oecd-ilibrary.org/environment/the-adverse-outcome-pathway-for-skin-sensitisation-initiated-by-covalent-binding-to-proteins_9789264221444-en#page1)

 

Resluts
Information declared on the label and lawsone and PDD levels found in ten commercial henna-based hair coloring cosmetics are show in Table 1. Since all products analyzed were declared as henna cosmetics by the manufactures, the presence of LAW, the main active phytochemical of henna, was then expected in all samples. However, HPLC analysis showed no LAW level in the product nº 2, suggesting falsification. Furthermore, the presence of PPD was declared on the products nº 2 and 8 only by the manufactures. However, this substance was detected in all products, suggesting undisclosed adulteration.

Aktieägare som vill delta i extra bolagsstämman ska vara införd i den av Euroclear Sweden AB förda aktieboken på avstämningsdagen som är lördagen den 1 september 2018 (då avstämningsdagen infaller på en lördag måste aktieägare vara införd i den av Euroclear Sweden AB förda aktieboken senast fredagen den 31 augusti 2018).

Aktieägare ska även senast måndagen den 3 september 2018 anmäla sig och eventuella biträden (högst två) skriftligen per post till SenzaGen AB, Medicon Village, byggnad 401, 223 81 Lund eller per e-post till anmalan@senzagen.com. I anmälan bör uppges fullständigt namn, person- eller organisationsnummer, aktieinnehav, adress, telefonnummer samt i förekommande fall, uppgift om ställföreträdare, ombud eller biträde. Anmälan bör i förekommande fall åtföljas av fullmakter, registreringsbevis och andra behörighetshandlingar.

Förvaltarregistrerade aktier

Aktieägare som har sina aktier förvaltarregistrerade hos bank eller annan förvaltare måste genom förvaltarens försorg tillfälligt låta inregistrera aktierna i eget namn för att äga rätt att delta i stämman. Sådan registrering, som normalt tar några dagar, ska vara verkställd senast fredagen den 31 augusti 2018 och måste därför begäras hos förvaltaren i god tid före detta datum.

Aktieägare som företräds genom ombud ska utfärda skriftlig och daterad fullmakt för ombudet. Om fullmakten utfärdats av juridisk person ska bestyrkt kopia av registreringsbevis, eller motsvarande behörighetshandling, utvisande att de personer som har undertecknat fullmakten är behöriga firmatecknare för den juridiska personen, bifogas fullmakten. Fullmaktens giltighetstid får anges till längst fem år från utfärdandet. En kopia av fullmakten samt eventuellt registreringsbevis bör i god tid före stämman insändas till Bolaget på adress enligt ovan. Föreslås vidare att styrelsearvode ska utgå med 100 000 kronor till den för nyval föreslagna ledamoten. I enlighet med det vid årsstämman beslutade arvodet kommer det totala arvodet för styrelsen att uppgå till 600 000 kronor.

Föreslås att Peter Nählstedt väljs som ny styrelseledamot. Styrelseledamöterna Carl Borrebaeck (ordförande), Ann Gidner, Ian Kimber och Laura Chirica kvarstår som ledamöter.

Notice of extraordinary General meeting of SenzaGen AB

Right to attend the general meeting and notification

Shareholders who wish to attend the extraordinary general meeting must be included in the share register maintained by Euroclear Sweden AB on the record date, which is Saturday 1 September 2018, (since the record day occurs on a Saturday a shareholder must be registered in the share register maintained by Euroclear Sweden AB no later than on 31 August 2018).

Shareholders shall also to notify the Company of their participation and any assistants (no more than two) in the extraordinary general meeting no later than Monday 3 September 2018. The notification shall be in writing to SenzaGen, Medicon Village, building 401, 223 81 Lund or via e-mail: anmalan@senzagen.com. The notification should state the name, personal/corporate identity number, shareholding, address and telephone number and, when applicable, information about representatives, counsels and assistants. When applicable, complete authorization documents, such as registration certificates and powers of attorney for representatives and assistants, should be appended the notification.

Nominee shares

Shareholders, whose shares are registered in the name of a bank or other nominee, must temporarily register their shares in their own name with Euroclear Sweden AB in order to be entitled to participate in the general meeting. Such registration, which normally is processed in a few days, must be completed no later than 31 August 2018 and must therefore be requested from the nominee well before this date.

Proxy etc.

Shareholders represented by proxy shall issue dated and signed power of attorney for the proxy. If the proxy is issued by a legal entity, attested copies of the certificate of registration or equivalent authorization documents, evidencing the authority to issue the proxy, shall be enclosed. The board of directors proposes that Carl Borrebaeck is elected as chairman of the general meeting.

It is further proposed that the remuneration to the director proposed for election shall be SEK 100,000. The total remuneration for the board of directors will amount to SEK 600,000 in accordance with the remuneration resolved on by the annual general meeting.

It is proposed to elect Peter Nählstedt as new director. The directors Carl Borrebaeck (chairman), Ann Gidner, Ian Kimber and Laura Chirica remain as directors.

SenzaGen is co-hosting a workshop on skin sensitization at the Federal University of Goiás, Faculty of Pharmacy, Goiás.

The workshop, relevant both for Industry and Academy, is a collaboration between SenzaGen AB – Laboratório de Farmacologia e Toxicologia Celular- FarmaTec-FF on new tools for skin sensitization testing. During the workshop you will have the chance to get acquainted with the GARD platform, learn about hands-on usage and learn how the GARD method was developed as well as how it can help you to test your product in a safe and secure way. Further, the workshop will give you information on the current situation for alternative methods in Brazil, the skin sensitization AOP and the regulatory framework.

SenzaGen is a proud sponsor and contributor at the 2nd  Pan-American Conference for Alternative Methods on August 23-24, 2018 in Rio de Janeiro.

We are very pleased to see the changes in Brazil and support the development on introducing alternative methods for chemical testing. The country is now banning animal tests in cosmetics in one state after another, and the progress to ban animal testing in cosmetics is of great importance in the whole Pan-American Region. This conference brings South, Central and North America together to further find alternatives to animal testing and build collaboration and exchange scientific ideas. It is organised by CAAT (Center for Alternatives to Animal Testing) and local organizers, Inmetro and Natura Cosmetics in Brazil and the focus for this conference is on the 6R’s: Replacement, Refinement, Reduction,  Read-across, Relevance and Roadmaps.

SenzaGen meddelar att teckningsoptioner har utnyttjats och att tilldelning av aktier skett

Styrelsen för SenzaGen har beslutat att tilldela 10 000 aktier som tecknats i enlighet med villkoren för teckningsoptionerna som emitterades efter beslut av årsstämman den 8 juni 2015. Med anledning av att Bolaget efter teckningsoptionerna emitterats genomfört en aktiesplit (1:5) har innehavare av teckningsoption rätt att teckna fem aktier i Bolaget per teckningsoption till en teckningskurs om 20 kronor per aktie. Varje aktie har därmed tecknats till en kurs om 20 kronor.

Samtliga aktier har tecknats genom kontant betalning och totalt betalas 200 000 kronor för de tecknade aktierna, vilket kommer att öka Bolagets aktiekapital med 500 kronor, från 777 463 kronor till 777 963 kronor. Antalet aktier ökar med 10 000, från 15 549 250 till 15 559 250 och innebär en utspädning om 0,06 procent av antalet aktier och röster i Bolaget. Efter utnyttjande av 2 000 teckningsoptioner kvarstår 29 600 teckningsoptioner av de 49 250 teckningsoptioner som emitterades den 8 juni 2015, vilket innebär att ytterligare högst 148 000 aktier kan komma att tecknas och tilldelas.
